Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of SoleGrit's website at solegrit.io and all SoleGrit applications, including SoleGrit Clips ("Services"). By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

SoleGrit is operated by a sole trader based in England, United Kingdom. Contact: support@solegrit.io.

1. Use of Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

SoleGrit reserves the right to suspend or terminate access for any user who violates these Terms.

2. User Accounts

Some features of the Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@solegrit.io if you suspect any unauthorised use of your account.

You must provide accurate and complete information when creating an account. SoleGrit reserves the right to suspend accounts that contain false or misleading information.

3. Free and Premium Tiers

SoleGrit Clips is available in two tiers:

Feature availability may change over time. We will provide reasonable notice of any changes that materially reduce the features available to existing paid subscribers.

4. Subscriptions and Payments

Premium access is available on a subscription basis, billed monthly or annually. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

Payments are processed by Stripe. By subscribing, you authorise SoleGrit to charge your payment method on a recurring basis. All prices are inclusive of applicable taxes where required by law.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will not be charged again after cancellation, and access to Premium features continues until the end of the period already paid for.

5. Refund Policy

If you are not satisfied with your purchase, you may request a full refund within 14 days of your initial subscription payment by contacting support@solegrit.io. Refund requests made after 14 days are considered at SoleGrit's discretion. Refunds are not provided for partial billing periods.

6. Intellectual Property

All content, design, code, trademarks, and materials forming part of the SoleGrit Services are the exclusive property of SoleGrit or its licensors and are protected by applicable intellectual property law. You may not reproduce, distribute, or create derivative works from any SoleGrit materials without prior written permission.

Your personal clips, notes, and tags created within SoleGrit Clips remain your property. SoleGrit does not claim ownership over user-generated content stored within the Services.

7. Third-Party Services

The Services integrate with third-party platforms including YouTube (Google LLC), Apple, Stripe, Cloudflare, and Anthropic. Your use of these integrations is subject to the respective terms and privacy policies of those third parties. SoleGrit is not responsible for the availability, accuracy, or conduct of third-party services.

SoleGrit Clips embeds YouTube video content via the YouTube IFrame Player API in compliance with YouTube's Terms of Service. SoleGrit does not host, store, or redistribute YouTube video content.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. SoleGrit does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, SoleGrit's total liability to you for any claim arising out of or relating to the Services shall not exceed the amount you paid to SoleGrit in the six months preceding the claim. SoleGrit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

10. Dispute Resolution

In the event of a dispute, please first contact SoleGrit at support@solegrit.io and attempt to resolve the matter informally. SoleGrit will endeavour to respond within 5 business days. If the dispute cannot be resolved informally within 30 days, either party may pursue formal resolution through arbitration or the courts of England and Wales.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

SoleGrit may update these Terms from time to time. When changes are made, we will update the "Last updated" date at the top of this page and notify active subscribers by email with reasonable advance notice before the changes take effect. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those Terms.

13. Termination

SoleGrit reserves the right to suspend or terminate your access to the Services at any time for violation of these Terms. Upon termination, your right to use the Services ceases immediately. You may export your data at any time before termination via the export feature in your account settings.
